Nolo.com Reference: How to Form an LLC in Iowa

1. Choose a Name for Your LLC

Under Iowa law, an LLC name must contain as the last words, “Limited Liability Company,” or the abbreviations “L.L.C.” or “LLC.” “Limited” may be abbreviated as “Ltd.” and “Company” as “Co.”

Your LLC’s name must be recognizably different from the names of other business entities already on file with the Iowa Secretary of State. Names may be checked for availability by searching the Iowa business name database.  You may reserve a name for up to 120 days by filing an Application for Reservation of Name with the Secretary of State. The application may be filed online, or by mail. The filing fee is $10.

2. File Articles of Organization 

An Iowa LLC is created by filling Articles of Organization with the Iowa Secretary of State of Business Services Division. The articles must include the LLC’s name and address and the name and address of the LLC’s registered agent. The articles may be filed online or by mail. The filing fee is $50.

3. Appoint a Registered Agent

Every Iowa LLC must have an agent for service of process in the state. This is an individual or business entity that agrees to accept legal papers on the LLC’s behalf if it is sued. A registered agent may be an individual who resides in Iowa, or a domestic  or foreign business entity authorized to do business in Iowa. The registered agent must have a physical street address in Iowa.

4. Prepare an Operating Agreement

An LLC operating agreement is not required in Iowa, but is highly advisable. If an operating agreement is created, it need not be filed with the Articles of Organization.

5. Publication Requirements

None.

6. Comply With Other Tax and Regulatory Requirements

Additional tax and regulatory requirements may apply to your LLC. These may include:

EIN: If your LLC has more than one member, it must obtain its own IRS Employer Identification Number (EIN),  even if it has no employees. If you form a one-member LLC, you must obtain an EIN for it only if you elect to have it taxed as a corporation instead of a sole proprietorship (disregarded entity). You may obtain an EIN by completing an online application on the IRS website. There is no filing fee.

Business Licenses: Depending on its type of business and where it is located, your LLC may need to obtain other local and state business licenses.

7. File Biennial Reports

All LLCs doing business in Iowa must file a Biennial Report with the Secretary of State every two years. The Secretary of State will send the LLC a report for completion before the due date. The report can be filed online or by mail. The filing fee is $30.

8. Foreign LLCs Doing Business in Iowa

To do business in Iowa, all LLCs organized outside of the state must register with the Iowa Secretary of State. Foreign LLCs must appoint a registered agent for service of process physically located in Iowa. To register, file an Application for Certificate of Authority. The application may be filed online or by mail. The filing fee is $100.

The completed application must be accompanied by a Certificate of Good Standing or Existence from the foreign LLC’s home state, dated no more than 90 days prior to the filing of the certificate.

Before filing, make sure the LLC’s name is available in Iowa by checking the Iowa business name database.  If the name is not available, the foreign LLC must adopt a fictitious business name for use in Iowa. In this event, it must file with the application a copy of the LLC resolution adopting the fictitious name.

How Broad, Phrase, and Exact Match Keywords Work

Confused by keyword research? You’re not alone. Terms like “phrase match” and “broad match” are tossed around a lot, but what do they really mean?

Broad Match

Let’s look at an example keyword search. Say you’re in the weight loss niche, and you want to find a keyword phrase to use for your new article marketing campaign. You head over to Google’s handy keyword tool and type in weight loss, and up pops a few hundred possibilities. If you’ve chosen broad match, your monthly search figure for the term “weight loss” should be around 5 million searches. But does that mean 5 million searches are performed for the term “weight loss”? No.

What it means is that 5 million searches related to weight loss are performed every month. These searches might be for “easy weight loss”, “lose weight”, “how to lose weight”, or even “gain weight.” Broad match includes every search that includes all or part of your search term, in any order.

Phrase Match

Phrase match brings you a little closer to what you’d expect. If you change your settings to phrase match, you’ll find your search numbers go down to about 4 million. Phrase match searches will include every search term that includes the phrase “weight loss.” So searches such as “weight loss tips” and “foods for weight loss” will be included in that number. What is excluded is a rewording of the phrase, so “loss of weight” doesn’t make the list.

Exact Match

Exact match numbers are where it’s at. When you change your parameters to exact match, you find out that roughly 60,000 searches are performed on that term each month. That means someone typed “weight loss” and nothing else into Google’s search box. They didn’t search for “how to lose weight” or “best tips for weight loss.” They searched only for “weight loss.”

It’s All Relative

Regardless of the tool you use or the numbers you chase, keep in mind that the only true measure of value for a specific keyword is against other keywords in that same search. In other words, if you generally use Google for your research, and you find your keyword has 3,000 exact matches per month, you can’t expect to get 3,000 visits, even if you land the top spot. What you can expect, though, is that your keyword will fare better than one that shows only 1,000 exact matches.

Remember, too, that you cannot reasonably compare numbers from one keyword tool to another (Wordtracker vs. Google, for example) and you can’t really compare keywords across niches. The only real comparison you can make is between keywords within the same niche, using the same tool, with the same settings.

It’s really not necessary to spend hours on keyword research. Nor is it necessary to spend a lot of money on fancy tools just to pull keywords from Google or Wordtracker. A simple search should be enough to show you what search term meets your requirements for the article or post you’re writing. Choose exact match keywords with a promising number of searches per day or per month, and get to work.

List Building: Tips for Higher Conversions

Visitors to your blog are good. RSS subscribers are better. But the real money online is in your mailing list. Build a large list of qualified buyers, and you’ll see a much higher return on your investment than you will from any other marketing effort. The only question is, how do you build a qualified list?

  • Present an irresistible offer. The days of getting people to give you their email address with the promise of a monthly or weekly newsletter are gone. You need to offer your readers something of value. Downloadable products like eBooks and special reports are popular, as are software, and even trial subscriptions to membership sites.
  • Use highly targeted marketing. If your list focuses on gardening, and all your Twitter followers are other Internet marketers, pushing signups on your Twitter account is not going to result in a lot of conversions. When linking back to your site from articles, forums, guest blogs, or ads, link to that page rather than your home page. You’ll see conversions increase dramatically.
  • Test, analyze, tweak, and repeat. No headline or opt-in page is perfect from the start. Keep an eye on your stats, and systematically change out elements to test performance. You can use scripts to split-test headlines and other parts of a squeeze page, or you can just manually track which ones work and which do not. And keep notes, you’ll want to refer back to them later for other campaigns.
  • Change your offer, too. Today’s hot ebook will eventually become yesterday’s news, and a new offer will often rejuvenate a quiet list.

Getting sign-ups is only part of your overall list building campaign, however. Once people are on your list, your job turns to keeping them there. Start by living up to the promise you made them. Revisit your opt-in page and welcome letter and make sure you’re doing what you said you would do. Did you promise a weekly newsletter? Then you need to get it out in a timely manner. Regardless of the promised schedule, don’t let weeks go by without contacting your list. An out-of-the-blue email from someone they haven’t heard from in three months will likely result in an unsubscribe.

At the same time, don’t make every contact with your list a sales pitch. Sure, they know they’re going to be marketed to when they sign-up, but they expect (and deserve) some value from being a member as well.
